Terms of Service

By accessing or using the Talon websites, applications, and services (the “Services”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of a school, district, or other organization, you represent that you have authority to accept these Terms for that entity, and “you” includes that entity.

Talon provides an AI-enabled learning management experience, including features that may change over time. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable. Certain features depend on your institution’s configuration, entitlements, or integrations.

You must provide accurate registration information and safeguard your credentials. You are responsible for activity under your account. Accounts for minors may be created or managed by a parent, guardian, or school as permitted by law and your deployment settings.

You agree not to:

• Violate applicable law or infringe others’ rights;
• Attempt to gain unauthorized access to systems, data, or accounts;
• Interfere with or disrupt the Services or other users’ access;
• Use the Services to develop competing models by scraping or extracting training data at scale without our written permission;
• Upload malware, harass others, or distribute unlawful content;
• Misrepresent AI outputs as human grading or official institutional decisions unless your workflow explicitly allows it.

We may investigate violations and suspend or terminate access where appropriate.

AI features may produce incorrect, incomplete, or biased content. You should verify important facts and follow your instructor’s or institution’s rules for permitted assistance. AI output is not professional, legal, or medical advice.

Some features may be offered on a free, trial, subscription, or one-time purchase basis. Fees, renewals, and refunds—if any—are described at checkout or in an order form. Carrier or data charges from your network provider may apply.

Ingenious Falcons and its licensors retain all rights in the Services, branding, and software. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for educational or institutional purposes. Content you submit remains yours; you grant us a license to host, process, and display it as needed to operate the Services and as described in the Privacy Policy.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INGENIOUS FALCONS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM (IF ANY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

You will defend and indemnify Ingenious Falcons and its affiliates, officers, and employees against third-party claims arising from your misuse of the Services or violation of these Terms, except to the extent caused by our willful misconduct.

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, risk to the Services, or legal requirements. Provisions that by their nature should survive will survive termination.

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local law requires otherwise. Courts in Delaware have exclusive jurisdiction for disputes arising out of these Terms, subject to any right you may have to bring claims in your local courts where required by applicable consumer law.

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms.
